Zapzy Terms of Service

1. Acceptance of Terms
By accessing or using the Zapzy platform ("Platform") and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). Your continued use of the Platform after updates constitutes acceptance of any revised Terms. If you do not agree to these Terms, you must immediately stop using the Platform and Services.
2. Eligibility
To access or use the Platform and Services, you must:
- Be at least the age of majority and legally capable of entering into binding agreements.
 - Not be a resident, citizen, or located in:
- The United States of America,
 - The United Kingdom,
 - Any jurisdiction listed in our List of Prohibited Countries (defined below).
 
 - Not be using the Services on behalf of, or for the benefit of, any person or entity that is a resident, citizen, or located in the United States, United Kingdom, or any jurisdiction listed in our List of Prohibited Countries.
 - Comply with all applicable local, national, and international laws and regulations.
 
Any attempt to access the Platform from the United States, United Kingdom, or any jurisdiction listed in our List of Prohibited Countries is strictly unauthorized and may result in immediate suspension or termination of access.
By using the Platform, you represent and warrant that you are not a resident, citizen, or located in the United States, United Kingdom, or any jurisdiction listed in our List of Prohibited Countries.
3. Description of Services
Zapzy ("we," "us," "our") provides non-custodial tools that allow users to create, manage, and trade digital assets through decentralized blockchain networks.
We do not:
- Provide financial, investment, legal, or tax advice.
 - Guarantee asset performance, liquidity, or price stability.
 - Act as a broker, dealer, agent, fiduciary, or financial advisor.
 
You are solely responsible for securing your wallets, managing your assets, and conducting your own due diligence.
4. Non-Custodial Services Disclaimer
Zapzy provides non-custodial services only.
At no time does Zapzy:
- Hold, store, or control your digital assets or private keys.
 - Act as a custodian, fiduciary, trustee, or escrow agent.
 
You are solely responsible for maintaining the security and control of your private keys and wallets. Loss of private keys may result in permanent loss of digital assets, which Zapzy cannot recover.
Zapzy is not a Special Purpose Depository Institution (SPDI) and is not licensed to provide custodial services under Wyoming law or the laws of any other jurisdiction.
5. Risk Disclosure and Warning
Risk Warning:
The purchase, sale, holding, and trading of digital assets are highly risky activities. The value of digital assets can fluctuate significantly, and you may suffer a total loss of funds.
You should carefully assess whether engaging with digital assets is suitable for you, considering your financial resources, objectives, and tolerance for risk.
Important Disclosures:
- Zapzy does not guarantee profits or protection against losses.
 - Zapzy does not provide investment, financial, tax, or legal advice.
 - Information provided through the Platform is for informational purposes only and is not a recommendation.
 - You are responsible for performing your own due diligence and consulting independent professional advisors.
 
By using the Platform, you acknowledge and accept all risks associated with digital assets, blockchain technology, and decentralized finance.
6. Fees and Payments
By using our Services, you agree to:
- Pay all fees disclosed at the time of your transaction.
 - Paying a fee even if the transaction is not successful.
 - Authorize automatic deduction of fees from your connected wallets, where applicable.
 - Accept changes to fee schedules, provided notice is given through Platform updates.
 
All fees are non-refundable unless expressly stated otherwise.
7. User Responsibilities
You agree to:
- Maintain the confidentiality and security of your account credentials, wallets, and private keys.
 - Provide accurate and truthful information.
 - Not engage in fraud, manipulation, market abuse, or illegal activities.
 - Comply with Zapzy's Prohibited Use Policy.
 - Assume full responsibility for all activities and transactions conducted through your account and wallets.
 
8. Intellectual Property
All rights, title, and interest in and to the Platform, including its technology, design, content, trademarks, and service marks, are owned by Zapzy or its licensors.
By submitting content to the Platform, you grant Zapzy a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display such content as necessary to provide and improve the Services.
9. Termination and Suspension
Zapzy reserves the right to suspend or terminate your access to the Platform and Services at any time, without liability, if you:
- Breach these Terms.
 - Engage in unlawful, fraudulent, abusive, or prohibited conduct.
 - Compromise the integrity, security, or functionality of the Platform.
 - Reside in or have connections to the United States, United Kingdom, or any jurisdiction listed in our List of Prohibited Countries.
 
10. No Warranties and Disclaimers
The Platform and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
 - Warranties regarding uptime, security, performance, or accuracy.
 
We do not warrant that the Platform will be uninterrupted, error-free, or secure, nor that any particular outcome will result from using the Services.
We are not responsible for:
- Volatility, liquidity, or value fluctuations of digital assets.
 - Issues on blockchain networks, such as delays or transaction failures.
 - Third-party service failures or vulnerabilities.
 - User errors, including mistaken transactions.
 
11. Limitation of Liability
To the fullest extent permitted by law, Zapzy's total liability to you for any claim related to the Services shall not exceed the total amount of fees paid by you to Zapzy in the six (6) months preceding the event giving rise to the claim.
Zapzy shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of laws principles.
Any disputes or claims shall be resolved by binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules. The seat of arbitration shall be London, United Kingdom.
Class Action Waiver:
You agree to waive any right to participate in class actions, class arbitrations, or representative proceedings.
13. Modifications to Terms
Zapzy may modify these Terms at any time by posting the updated Terms on the Platform with at least thirty (30) days' prior notice, except where immediate changes are necessary for legal compliance or platform security.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.
14. Google Analytics and reCAPTCHA Disclaimer
We may use Google Analytics and Google reCAPTCHA on the Platform for the purpose of analyzing website traffic and ensuring the security of our platform.
- Google Analytics: This service collects information about how you interact with the Platform, including pages viewed, time spent on pages, and how you were referred to the Platform. Google Analytics uses cookies to collect data. For more information on how Google Analytics handles data, please visit Google's Privacy Policy.
 - Google reCAPTCHA: This service is used to prevent spam and abuse by verifying that users are human. By using reCAPTCHA, data including your IP address and behavior on the website may be collected and processed by Google. For more information, please review Google reCAPTCHA's Privacy Policy.

16. Key Definitions
- Digital Assets: Cryptographically secured digital representations of value or rights, including cryptocurrencies, stablecoins, and NFTs.
 - Wallet: A digital storage solution that allows users to store and manage private keys necessary to access and transfer digital assets.
 - List of Prohibited Countries: High-risk jurisdictions including but not limited to Cuba, Iran, North Korea, Syria, Afghanistan, Belarus, Myanmar (Burma), Russia, Venezuela, and the regions of Crimea, Donetsk, and Luhansk. This list also includes any other jurisdictions subject to comprehensive sanctions imposed by the United States, United Nations, European Union, or other applicable regulatory authorities. This list may be updated from time to time without prior notice.
